Total Voting Rights

Ebiquity plc announces that, as at 31 May 2017, the Company's issued share capital consists of 77,212,121 ordinary shares of 25 pence each ("Ordinary Shares").  The total number of voting rights in the Company is 73,012,121.  No shares are held in treasury.

The above figure of 73,012,121 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.

Note 1

The Ebiquity plc 2000 Employee Benefit Trust holds 4,200,000 issued Ordinary Shares to satisfy awards for the Company's senior management team. To date these awards have not been exercised and the trustee has agreed not to vote the Ordinary Shares held by it.  As such 4,200,000 Ordinary Shares are treated as not carrying voting rights for the purposes of the City Code on Takeovers and Mergers.
