Westminster Group Plc:

Exercise of Employee Share Options, Issue of Equity and Total Voting Rights

Westminster Group Plc ('Westminster', the 'Company' or 'the Group') announces that it has today issued 55,000 new ordinary shares of 10p each in the Group, following the exercise of employee options. These options which were issued on 5 April 2007 have an exercise price of 10p.

The new ordinary shares will rank pari passu with existing ordinary shares in the Group and application will be made for these new ordinary shares to be admitted to trading on AIM, which is expected to occur on or around 7 April 2017.

As a consequence of the exercise of share options as detailed above, the Group's issued capital now comprises 97,993,420 ordinary shares of 10p each. There are no ordinary shares held in Treasury. Therefore the total number of voting rights in Westminster is now 97,993,420.

The above figure of 97,993,420 may be used by shareholders in the Group as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Group under the FCA's Disclosure and Transparency Rules.
