TRANSACTION IN OWN SHARES

Close Brothers Group plc (the 'Company') announces that on 6 February 2017 it transferred 4,211 ordinary shares of 25 pence each from treasury to participants in its employee share plans. The transfer price was 931 pence. Following the transfer of these shares, the Company holds 489,922 of its ordinary shares in treasury and has 150,153,806 ordinary shares in issue (excluding treasury shares).
