Notification of Interests of Directors and Connected Persons

The Company was informed on 22 December 2016 that the following transactions had taken place:

1.   Helical plc Employee Share Ownership Plan Trust

The Company was informed that the Helical plc Employee Share Ownership Plan Trust ("ESOP") had recently transferred 1,395,555 shares to directors and employees in accordance with the rules of the 2004 Performance Share Plan and the 2012 Annual Bonus Scheme. In addition, the ESOP had sold 1,243,895 shares to enable it to satisfy the Income Tax and National Insurance Liabilities arising out of the recent vesting of awards. At 22 December 2016, the ESOP holds 1,261,533 (1.1%) shares in Helical plc.
