Exercise of Options & EBT Share Purchase

The Company has received notice that, on 14 December 2016, an employee exercised share options in accordance with the rules of the 2011 LTIS scheme.

No new ordinary shares have been issued to satisfy the LTIS awards. Following the exercise of options, the Brooks Macdonald Group Employee Benefit Trust (the "EBT") has transferred 346 ordinary shares to satisfy the awards.

The Company has also been notified by RBC cees Limited, the trustees of the Brooks Macdonald Group Employee Benefit Trust (the "Trust"), that on 14 December 2016 the Trust completed the purchase of 3,101 ordinary shares of 1 pence each in the Company at a price of 1,750 pence per share.

Following the transfer and these purchases, the Trust now holds 231,602 ordinary shares representing 1.69% of the Company's current voting rights.
