Voting Rights and Capital

Notification of alteration to total voting rights in accordance with the Financial Conduct Authority's Disclosure Guidance and Transparency Rules provision 5.6.1R

The Company advises that its capital consists of 520,733,3701 ordinary shares of 25/48ths of a penny (approximately 0.520833p) each as at 30th November 2016. The Company holds 4,072,590 shares in treasury.

Therefore the total number of voting rights in the Company is 516,660,7801.

The above figure of 516,660,780 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company under the FCA's Disclosure Guidance and Transparency Rules.

1Following the publication of the Company's circular to Shareholders dated 1 December 2016, the total share capital of the Company is 520,733,370  (which includes 22,068,513 Ordinary Shares, the subject of the Share Buy-backs (as defined in the Circular) which are to be cancelled) and the total number of voting rights is therefore 516,660,780. In the event that the Resolution is passed, and no further Ordinary Shares are issued or repurchased between today's date and the date the Resolution is passed, the total number of voting rights will be 494,592,267 immediately following the passing of the Resolution and such cancellation.
