NOTIFICATION OF TRANSACTIONS OF DIRECTORS/PERSONS EXERCISING MANAGERIAL RESPONSIBILITY AND CONNECTED PERSONS

Dunelm Group plc (the "Company") has been notified of the following transactions by its Directors and persons closely associated with its Directors:

John Browett

On 6 October 2016, John Browett, Chief Executive, and his wife, Fran Browett purchased ordinary shares of one pence each in the Company as follows:

Mr Browett's beneficial interest in the Company's shares following this purchase is 45,959 ordinary shares of 1 pence each, 0.02% of the Company's issued ordinary share capital (excluding treasury shares).

Keith Down

On 7 October 2016, Keith Down, the Chief Financial Officer, exercised nil cost options over 7,470 ordinary shares of one pence each in the Company. These options were granted to him on 7 December 2015 under the terms of the Share Award Agreement approved by shareholders at the AGM on 24 November 2015. Subsequently Mr Down has transferred the 7,470 shares to his wife, Alison, for nil consideration.

Following the transactions set out above, Mr Down is beneficially interested in 21,610 ordinary shares of one pence each in the Company, 0.01% of the Company's issued ordinary share capital (excluding treasury shares).
