In accordance with DTR 5.6.1 of the FCA's Disclosure and Transparency Rules, Premier Foods plc (the 'Company') advises that as at 30 September 2016 the Company's issued share capital consisted of 832,391,809 ordinary shares of 10p each with voting rights. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.

This represents an increase of 5,659,356 additional ordinary shares of 10p each with voting rights which were issued in September 2016. This substantially reflects the issuance of 5,650,000 shares to satisfy the vesting of awards under the Company's Restricted Stock Plan which was approved by shareholders at the Company's Annual General Meeting on 23 July 2015. The remaining 9,356 shares were issued to satisfy the vesting of awards under the Company's Sharesave Plans.
