Notification of Transactions of Connected Parties to Persons Discharging Managerial Responsibilities 

The Company has been notified that on 19 and 20 September 2016 the following transactions took place:

On 19 September 2016, WA Capital Limited ("WA Capital"), a company controlled by Will Adderley, Deputy Chairman, and Nadine Adderley his wife, transferred 18,000,000 ordinary shares having a par value of 1 pence each in the capital of the Company, constituting 8.9 % of the Company's issued ordinary share capital, to WA Capital Investments Limited ("WA Capital Investments"), a wholly owned subsidiary of WA Capital, at market value. There was no change in the ultimate beneficial ownership of the shares in the Company as a result of this transfer.

On 20 September 2016, WA Capital Investments entered into a loan facility with Barclays Bank plc ("the Bank"), and granted a security interest in favour of the Bank over 18,000,000 ordinary shares having a par value of 1 pence each in the capital of the Company, constituting 8.9% of the Company's issued share capital, as security for any amounts which may be due from time to time under the facility.

WA Capital Investments remains the beneficial owner of the shares subject to the pledge, and retains full voting rights. As such, Will Adderley retains an interest in 55,301,779 shares in the Company, which is unchanged as a result of this announcement, and represents 27.4% of the Company's issued ordinary share capital. Pursuant to the agreement entered into between WA Capital and UBS AG in connection with the sale of shares by WA Capital, announced by the Company on 13 April 2016, WA Capital agreed not to dispose of, or grant any rights over, any shares in the Company prior to 13 October 2016.  In connection with the loan facility above, UBS AG has agreed to waive this restriction in relation to 18,000,000 ordinary shares.
