TRANSFER OF TREASURY SHARS

In accordance with the provision of Listing Rule 12.6.4, the Company advises that on 8 September 2016 it transferred at nil consideration 7,972,955 Ordinary shares held in Treasury to satisfy awards to participants under the Hays Company's share schemes.

Following this transfer, Hays plc holds 21,990,523 Ordinary shares in Treasury.  The number of shares in issue is 1,442,106,043 (excluding treasury shares).
