FDM GROUP (HOLDINGS) PLC (the "Company")

Notification of transactions by persons discharging managerial responsibilities ("PDMRs")

The Company has been notified that Michelle Senecal de Fonseca, a Non-Executive Director of the Company, acquired 2,530 ordinary shares of £0.01 each in the capital of the Company ("Ordinary Shares") at a price of £5.9895 per Ordinary Share on 28 July 2016. Following the purchase, Michelle Senecal de Fonseca has a beneficial interest in 5,211 Ordinary Shares, representing approximately 0.005 per cent of the Company's issued share capital.
