Voting Rights and Capital

In accordance with DTR 5.6.1 of the FCA's Disclosure and Transparency Rules the Company announces it issued 10,005 additional ordinary shares with voting rights during June 2016. All the shares were allotted to satisfy the vesting of options under the Company's Sharesave Plans.

Therefore the figure of 826,730,105 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Premier Foods plc under the FCA's Disclosure and Transparency Rules.
