Result of AGM and Total Voting Rights

Westminster Group Plc, the AIM listed supplier of managed services and technology based security solutions to governments and government agencies, non-governmental organisations (NGO's) and blue chip commercial organisations worldwide, is pleased to announce that all resolutions put to the Annual General Meeting held today were duly passed.

As announced on 3 June 2016 the Company has therefore today issued the second tranche of 3,114,105 new 10p Ordinary Shares to Hargreave Hale at a price of 10p per share and these shares will be admitted to trading on 1 July 2016. This tranche was conditional on the passage of the required resolutions at today's Annual General Meeting.

In accordance with the Financial Conduct Authority's Disclosure and Transparency Rules, the Company hereby announces that it has 83,114,105 ordinary shares of 10p each in issue, none of which are held in treasury. Therefore, the total number of voting rights in the Company is 83,114,105.

The above figure of 83,114,105 may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
