Total Voting Rights

In accordance with paragraph 5.6.1R of the Disclosure Rules and Transparency Rules, at the close of business on 31 May 2016, the Company's issued ordinary share capital consisted of 200,442,068 ordinary shares of £0.01 each (the "Ordinary Shares") with voting rights.

No Ordinary Shares are held in treasury.

Therefore, the total number of voting rights in the Company is 200,442,068.

The above figure may be used by shareholders as the denominator for the calculations by which they can determine whether they are required to notify their interest in, or a change of their interest in, the Company under the Disclosure Rules and Transparency Rules of the Financial Conduct Authority.
