Total Voting Rights and Capital as at 31 May 2016

The following notification is made in accordance with the UK Financial Conduct Authority's Disclosure and Transparency Rule 5.6.1.

At close of business on 31 May 2016 the issued share capital of Harworth Group plc ("the Company") consisted of 292,269,786 ordinary shares of 10 pence each. The voting rights of these shares are identical with each share carrying the right to one vote per share. No shares are held in Treasury.

Therefore the total number of voting rights in the Company is 292,269,786 and this figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Disclosure and Transparency Rules.
