Topps Tiles plc (the "Company")

Director/PDMR shareholdings / EBT Share Purchase / Total Voting Rights

Transactions by PDMRs

The Company announces that on the 24 May 2016 Mr Rob Parker, a PDMR, exercised a nil cost option in relation to a further 100,000 ordinary shares of 3.33 pence each in the Company ("Ordinary Shares") previously vested pursuant to the Topps Tiles 2013 Long Term Incentive Plan.

Rob Parker now holds 201,747 Ordinary Shares representing 0.10% of the issued share capital of the Company. As a result, the combined holding of Rob Parker and Danielle Parker (spouse of Rob Parker and a connected person) is 304,486 Ordinary Shares representing 0.16% of the issued share capital of the Company.

EBT Share Purchase

The Topps Tiles Employee Benefit Trust ("EBT") has acquired 1,464,585 Ordinary Shares in the open market at an average price of 1.365 pence. The EBT now holds 2,903,080 Ordinary Shares representing 1.48% of the issued share capital of the Company.

The Trust holds shares for the benefit of the Company's employees and in particular for the satisfying of awards made under the Company's various share schemes.

Total Voting Rights

The Company's total issued share capital as at the 31 May 2016 consists of 195,830,280 Ordinary Shares with one voting right per share. The Company does not hold any Ordinary Shares in treasury. The EBT has waived its right to exercise its voting rights and to receive dividends in respect of 2,903,080 Ordinary Shares. Accordingly, the total number of voting rights in the Company will be 192,927,200. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
