Grant of options

Haydale (AIM: HAYD), the Group focused on the commercialisation of graphene and other nano particle products using their proprietary plasma process announces that on 19 May 2016, the Board of the Company awarded options ("Options") over an aggregate of 176,845 ordinary shares of 2p each in the capital of the Company ("Ordinary Shares") pursuant to the Company's approved and unapproved share option schemes adopted by the Board on 4 April 2014. 

All of the Options granted have an exercise price of 171.5p per Ordinary Share (being the closing mid-market price of the Company's Ordinary Shares on 18 May 2016, the day before the grant) and will vest on the third anniversary of grant. On vesting, the Options will be exercisable until the fifth anniversary of grant.  Following the grant of these Options, the Company's total number of options outstanding as at the date of this announcement is 1,081,636.

Of the Options granted, 44,780 were granted to the Company's executive directors following the agreement of the terms of the Options by the remuneration committee of the Board as follows:

Each director's grant of options, as outlined above, is considered to be a related party transaction for the purposes of Rule 13 of the AIM Rules for Companies.  Accordingly, the independent directors of the Company (being John Knowles, Tony Belisario, Graham Eves, Roger Smith and Roger Humm) consider, having consulted with the Company's nominated adviser, Cairn Financial Partners LLP, that the terms of each director's grant of options, as outlined above, is fair and reasonable insofar as Shareholders are concerned.

The number of ordinary shares currently in issue is 15,236,946 and it is this number that has been used to calculate the above percentage shareholdings.

About Haydale

Haydale has developed a patented scalable plasma process to functionalise graphene and other nanomaterials.
