SCRIP DIVIDEND SCHEME

Ordinary Shares of 5.0p each

The Company offers shareholders the opportunity to take new ordinary shares, credited as fully paid, in lieu of cash dividends, by participating in a Scrip Dividend Scheme.

In relation to the final dividend for 2015, the price of a new ordinary share under the Scrip Dividend Scheme has been set at 3353.4 pence.  This is the average of the Company's middle market closing price for the five consecutive dealing days commencing on the ex-dividend date of 5 May 2016.

Shareholders wishing to participate in the Scrip Dividend Scheme and who have not already returned a mandate form should contact our Registrar, Equiniti, on the share dividend helpline on 0371 384 2192 (or +44 (0)121 415 7047 for calls made from outside the United Kingdom) and return a mandate form to Equiniti to arrive no later than 19 May 2016. The dividend payment date is 10 June 2016.  Mandate forms are also available on the Group's website: www.derwentlondon.com.
