that members are entitled to exercise at the Company's

2016 Annual General Meeting on 6 May 2016

The Company's issued share capital as at 31 March 2016 is 30,232,598 ordinary shares of 25p each. Each ordinary share carries the right to one vote and no ordinary shares are held in treasury.

In accordance with section 311A of the Companies Act 2006 and with the UK Financial Conduct Authority Disclosure and Transparency Rules (DTR 5.6.1), the total number of voting rights in the Company is 30,232,598.
