Notification of Transactions of Directors / Persons Discharging Managerial Responsibilities and Connected Persons

31 March 2016: In accordance with the UK Financial Conduct Authority's Disclosure Rules and Transparency Rules, Metro Bank PLC (the "Company") announces the following changes in the interests of Persons Discharging Managerial Responsibility ("PDMRs") and their connected persons in ordinary shares of £0.0001 each in the share capital of the Company ("Shares"):

On 23 March 2016, Mr Stuart Bernau, a Non-Executive Director of the Company purchased 795 Shares at £18.85 each per Share and Mrs Susan Bernau, a connected person of Mr Bernau, purchased 796 Shares at £18.85 each per Share. Following this transaction, the shareholding of Mr Bernau and his connected person has increased to 65,634 Shares, representing 0.08% of the Company's issued share capital.
