Publication of shareholder circular and Notice of General Meeting

Venture Life, the international consumer healthcare group addressing the self-care needs of the ageing population, is pleased to confirm that a circular (the "Circular") in relation to the proposed Placing, Convertible Bond Issue and Acquisition, as announced by the Company earlier today, has been posted to Shareholders.

Copies of the Circular, together with the Notice of General Meeting to be held at the offices of Simmons & Simmons LLP at CityPoint, 1 Ropemaker Street, London EC2Y 9SS at 11.00 a.m. on 1 March 2016, can be viewed on the Company's website at www.venture-life.com.

The expected timetable for the Placing and Convertible Bond Issue, as outlined in the Circular, is also set out below:

Posting of the Circular and Proxy Form to Shareholders	12 February 2016
Convertible Bond auction opens	9.00 a.m. on 17 February 2016
Latest time and date for receipt of Proxy Forms for the General Meeting	11.00 a.m. on 26 February 2016
General Meeting	11.00 a.m. on 1 March 2016
Convertible Bond auction closes	4.30 p.m. on 2 March 2016
Admission of the Placing Shares, issue of the Convertible Bonds and completion of the Acquisition	8.00 a.m. on 3 March 2016
CREST accounts to be credited for Placing Shares in uncertificated form	3 March 2016
Expected date for posting of share certificates for Placing Shares (where applicable)	Within 10 days of Admission
