("LTG" or "the Company")

Completion of Acquisitions and Total Voting Rights

Pursuant to the announcement on 29 January 2016, Learning Technologies Group plc ("LTG") is pleased to announce that, following the completion of all outstanding conditions, it completed the acquisition of the entire issued share capital of Rustici Software LLC ("Rustici") and a 30% equity stake in Watershed Systems Inc. ("Watershed") on the afternoon of 29 January 2016.

As a result of the aforementioned acquisitions, LTG confirms that an application will be made to the London Stock Exchange for the admission of 14,367,082 new ordinary shares to trading on AIM.  Admission of the new shares is expected to take place at 8.00am on 5 February 2016.

Following the anticipated admission of these shares, the total number of ordinary shares of 0.375p each in the capital of the Company in issue will be 416,246,899 with each share carrying the right to one vote.

No shares are held in treasury.  The above figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Disclosure and Transparency Rules.
