Exercise of Options & Directors' Shareholding
The Company received notification that on 11th January 2016 certain directors of the Company exercised options over 10p Ordinary shares under the 2012 T.Clarke plc Savings Related Share Option Scheme ("the 2012 Share Save Scheme") as follows:

Following the exercise of options these directors hold the following beneficial interests in the issued share capital of the Company:

Including options exercised by the Directors referred to above, options over a total of 458,120 ordinary shares of 10 pence each have been exercised by employees under the 2012 Share Save Scheme. All of such options were satisfied by market purchases by the T. Clarke Employee Share Ownership Trust of existing ordinary shares in the Company.
Accordingly, the total number of voting rights in T. Clarke plc remains as 41,829,577 (the "Voting Rights Figure").
The Voting Rights Figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their voting rights interest, or a change to that interest, in the Group under the FCA's Disclosure and Transparency Rules.
