Voting Rights and Capital

In accordance with DTR 5.6.1 of the FCA's Disclosure and Transparency Rules the Company announces it issued 724,672 additional ordinary shares with voting rights during December 2015. All the shares were allotted to satisfy the vesting of options under the Company's 2012 Sharesave Plan.

Therefore the figure of 826,484,328 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Premier Foods plc under the FCA's Disclosure and Transparency Rules.
