Hays plc (the "Company")

TRANSFER OF TREASURY SHARES

In accordance with the provisions of Listing Rule 12.6.4, the Company advises that on 5 November 2015 it transferred at nil consideration 9,390,631 Ordinary shares held in Treasury to satisfy the vesting of awards to participants under the Hays plc Performance Share Plan.

Following this transfer, Hays plc holds 32,453,959 Ordinary shares in Treasury. The number of shares in issue is 1,431,642,607 (excluding treasury shares).
