Exercise of Options and Directors' Dealings

Long Term Incentive Scheme ("LTIS")

The Company has received notice yesterday that certain directors and staff have exercised share options in accordance with the rules of the 2011 and 2012 LTIS schemes. In aggregate 43,452 options were exercised by Directors and staff.  No new ordinary shares have been issued to satisfy the LTIS awards.

Following the exercise of options, the Brooks Macdonald Group Employee Benefit Trust (the "EBT") has transferred 43,452 ordinary shares to satisfy the awards to underlying beneficiaries.

The EBT has today purchased 1,700 ordinary shares from the market and repurchased 21,538 ordinary shares from members whom have left the scheme to satisfy 2015 EBT awards to Directors and staff.

The revised holding of the EBT is 212,318 ordinary shares, representing 1.55% of the Company's current voting rights.
