Total Voting Rights

In conformity with rule 5.6.1 of the FCA's Disclosure Rules and Transparency Rules ('DTRs'), QinetiQ Group plc (the 'Company') advises that as at 30 September 2015 its issued ordinary share capital consisted of 587,936,070 ordinary shares of one pence each.  The Company does not hold any shares in treasury.

Therefore, the total number of voting rights in the Company as at 30 September 2015 was 587,936,070.  This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the DTRs.
