Directors' share sale and purchase and EBT share purchase

Brooks Macdonald Group plc ("Brooks Macdonald" or the "Company"), announces that on 29 September 2015 Chris Macdonald, Simon Jackson and Andrew Shepherd, all directors of the Company, made the following transactions in the ordinary 1p shares of the Company as detailed below:

Chris Macdonald, together with connected parties, has separately agreed to a lock-in arrangement in relation to the balance of his ordinary shares in the Company which will last for a period of two years from the date of this sale.

The Company has been notified on 29 September 2015 by RBC cees Limited, the trustees of the Brooks Macdonald Group Employee Benefit Trust (the "Trust") that the Trust completed the purchase of 25,000 ordinary shares of 1p each in the Company at a price of 1,700p.

Following this purchase the Trust holds 232,532 ordinary shares representing 1.7% of the Company's current voting rights.
