Exercise of Share Options & Director / PDMR Dealing

NCC Group plc (LSE: NCC) received notification on 10 July 2015 that on the same day the Directors/Persons Discharging Managerial Responsibilities ("PDMRs") listed below were awarded, in total, 121,472 ordinary shares of 1 pence each ("Ordinary Shares") by the trustees of NCC Group Employee Benefit Trust ("EBT") pursuant to options granted to them under the Company's Long Term Incentive Plan. The aggregate exercise price paid by each Director/PDMR in relation to all options exercised by them was £1. Accordingly, on 10 July 2015 the Company transferred 121,472 Ordinary Shares from Treasury to the trustees of the EBT.

As a result of the exercise of their respective options mentioned above, the following Directors/PDMRs are acquirers of Ordinary Shares and their shareholdings are set out below:

Total voting rights

Following the transactions above, the total Ordinary Shares in issue is 229,316,313 (which includes 116,714 treasury shares). The number of voting rights in issue is 229,199,599 and should be used by shareholders as the denominator in the calculation of their interest in the Company.
