AWARDS GRANTED UNDER THE LONG TERM PLAN

The following conditional awards were granted in the UK on 30 June 2015, (calculated using the market price at the close of trading on the London Stock Exchange on 29 June 2015 of £9.255 per ordinary share), to the undernoted directors and persons discharging managerial responsibility pursuant to the rules of the United Utilities Group 2013 Long Term Plan as approved by the shareholders at the general meeting on 26 July 2013. Vested shares are subject to uplift for dividend equivalents in respect of the dividend record dates occurring between the grant date and the vesting date.  The actual number of shares that vest will depend upon the extent to which the established performance conditions are satisfied over the performance period.  Executive directors are subject to a further two-year holding period.
