TRANSACTION IN OWN SHARES

Close Brothers Group plc (the 'Company') announces that on 1 June 2015 it transferred 987 ordinary shares of 25 pence each from treasury to participants in its employee share plans.  The transfer price was 547 pence.  Following the transfer of these shares, the Company holds 1,176,530 of its ordinary shares in treasury and has 149,457,206 ordinary shares in issue (excluding treasury shares).
