TRANSACTION IN OWN SHARES

Close Brothers Group plc (the 'Company') announces that on 19 May 2015 it transferred 2,335 ordinary shares of 25 pence each from treasury to participants in its employee share plans.  The transfer price was 547 pence.  Following the transfer of these shares, the Company holds 1,177,517 of its ordinary shares in treasury and has 149,456,219 ordinary shares in issue (excluding treasury shares).
