Directorship Notification

Premier Foods announces that Charles Miller Smith, non-executive director, has advised the Company today that he intends to stand down as a director of the Company on 1 June 2015. He has served on the Board since 2009.

David Beever, Chairman of Premier Foods, said "On behalf of the Board, I would like to thank Charles for his enormously constructive contribution to the Company as both a representative of our largest shareholder, Warburg Pincus, and more recently as an independent non-executive director. His vast experience and excellent judgement has been critically helpful in creating the right capital structure, strategy and leadership to support the Company's recovery. Given our simpler business structure, we have no plans to replace Charles on the Board."
