NOTIFICATION OF TRANSACTIONS OF DIRECTORS/PERSONS DISCHARGING

MANAGERIAL RESPONSIBILITY AND CONNECTED PERSONS

EXERCISE OF SHARE OPTIONS AND SALE

In accordance with Disclosure Rule 3.1.4R(1), Greggs plc  announces that on 5 May 2015 Richard Hutton, a PDMR, acquired 62,640 Ordinary £0.02 shares by exercising executive options pursuant to the Greggs plc 2004 Non- Inland Revenue Approved Executive Share Option Scheme.

The grant was made at an option price of £3.56 per share in respect of Ordinary £0.02 shares and was subject to performance conditions which were subsequently achieved. 

Of the total 62,640 share options exercised by Richard Hutton, 47,200 shares were sold on 5 May 2015 in London at a price of £11.456 per share and 15,440 shares were transferred on 5 May 2015 by Richard Hutton into a beneficial holding in the name of Joanna Clare Hutton.

Following this transaction, the shareholding in Greggs plc of Richard Hutton and his connected persons has increased to 77,500 shares (0.08%).

Greggs plc was notified of this transaction on 5 May 2015.
