M&C Saatchi PLC ("M&C Saatchi" or "the Company")

Additional Listing and Total Voting Rights

Application has been made to the London Stock Exchange for the Admission of 1,019,267 new ordinary shares of 1p each in the Company (the "New Shares") to trading on AIM. The New Shares have been issued as consideration for 10% equity in the M&C Saatchi Mobile Ltd

Admission of the New Shares is expected to become effective on 7 May 2015.

The total number of Ordinary Shares in issue on the date of admission will be 72,399,529. Of this total, 700,000 Ordinary Shares are held in treasury. Therefore, the total number of Ordinary Shares in issue with voting rights will be 71,699,529.

The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company, under the Disclosure and Transparency Rules.
