TRANSACTION IN OWN SHARES

Close Brothers Group plc (the 'Company') announces that on 7 April 2015 it transferred 194 ordinary shares of 25 pence each from treasury to participants in its employee share plans.  The transfer price was1,155 pence. Following the transfer of these shares, the Company holds 1,193,871 of its ordinary shares in treasury and has 149,439,865 ordinary shares in issue (excluding treasury shares).
