Total Voting Rights

On 19 March 2015, the Company announced the issue of 159,090,909 ordinary shares of 1p each ("Ordinary Shares") pursuant to the Placing and Offer for Subscription which closed on 18 March 2015. On 20 March 2015, the Company announced the issue of a further 175,557 Ordinary Shares to members of Tritax Management LLP, the Company's Manager, under the terms of the Investment Management Agreement.

Following the admission to trading of these Ordinary Shares, the Company's issued share capital consists of 629,761,686 Ordinary Shares with voting rights. This figure may be used by Shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.

Tritax Big Box REIT plc is a real estate investment trust to which Part 12 of the UK Corporation Tax Act 2010 applies ("REIT"). The Company invests in and asset manages a portfolio of well-located, modern "Big Box" assets, typically targeting buildings greater than 500,000 sq. ft., let to institutional-grade tenants on long-term leases (typically between 12 and 25 years in length) with upward-only rent reviews (providing the potential for inflation linked earnings growth), and with geographic and tenant diversification throughout the UK.
