Directorate change

Direct Line Insurance Group plc (the "Company") announces that Glyn Jones, its Senior Independent Director ("SID") has decided not to submit himself for re-election as a director at the Company's 2015 Annual General Meeting ("AGM"). Mr Jones is Chairman of Aldermore Group PLC ("Aldermore"), the shares of which were admitted to listing on the London Stock Exchange on 10 March 2015. He is also Chairman of Aspen Insurance Holdings Limited, which is listed on the New York Stock Exchange. As Mr Jones is now Chairman of two listed companies, he has decided to reduce the number of his non-executive directorships and will step down from the Company's Board of Directors at the conclusion of the Company's AGM on 13 May 2015.

Andrew Palmer, an Independent Non-executive Director of the Company and Chairman of its Audit Committee, has agreed to act as the Company's SID while the search for a new Non-executive Director is under way, and will accordingly be appointed as SID at the conclusion of the Company's 2015 AGM. Mr Palmer will continue to chair the Audit Committee.
