Publication of Prospectus

The prospectus of Assura plc dated 23 January 2015 (the "Prospectus") in connection with the proposals to change the Assura Group's corporate structure by inserting Assura plc as the new English-incorporated parent company of the Assura Group, has been approved by the Financial Conduct Authority and has been published.

The Prospectus will be posted to shareholders of Assura Group Limited today and has also been submitted to the National Storage Mechanism where it will shortly be available for inspection at www.morningstar.co.uk/uk/NSM.

In addition, the Prospectus will shortly be available to view on the Assura Group Limited website, www.assuragroup.co.uk (which is also the website for Assura plc), and copies of the Prospectus will be made available at the Assura head office at The Brew House, Greenalls Avenue, Warrington WA4 6HL.
