In conformity with Disclosure and Transparency Rule 5.6.1R, Indivior PLC ('Indivior') hereby confirms that as at 31 December 2014:

Indivior has 718,577,618 issued ordinary shares of US2.00 each admitted to trading. Each ordinary share carries the right to one vote in relation to all circumstances at general meetings of Indivior. No shares are held in treasury.

The total number of voting rights in Indivior is 718,577,618. This figure may be used by shareholders (and others with notification obligations) as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Indivior under the FCA's Disclosure and Transparency Rules.
