BABCOCK INTERNATIONAL GROUP PLC ANNOUNCES RELEASE OF GUARANTORS UNDER ITS £1,000,000,000 EURO MEDIUM TERM NOTE PROGRAMME

In accordance with Condition 4(d) (Release of Guarantors) in respect of Babcock International Group plc's ("Babcock") £1,000,000,000 Euro Medium Term Note Programme (the "Programme") constituted by the Trust Deed dated 22 September 2014 (the "Trust Deed") and made between Babcock, the companies listed in Schedule 5 of the Trust Deed (the "Original Guarantors") and The Law Debenture Trust Corporation plc (the "Trustee"), Babcock hereby notifies holders of the EUR 550,000,000 1.750 per cent. Notes due 2022 that, as of 18 December 2014, each of the Original Guarantors listed below (the "Released Guarantors") has been fully and unconditionally released from all obligations under its respective Guarantee of the Financing or as a borrower under the Financing (as the case may be). Accordingly, the Released Guarantors are deemed to be released from all obligations under their respective Guarantee of the Notes.

Capitalised terms used in this announcement but not defined herein have the meanings given to them in the Trust Deed.
