Issue of Equity

Total voting rights

Further to the terms of the Subscription announced on 23 September 2014, CA Sperati today announces that the Company have received a notice from a Subscription Shareholder to exercise 2,200,000 warrants at a price of 3 pence per ordinary share. 

Accordingly the Company will issue 2,200,000 new ordinary shares (the "Shares") and application will be made for the Shares, which will rank pari passu with the Company's existing issued ordinary shares, to be admitted to trading on AIM ("Admission").  Admission is expected to commence on or around 23 December 2014.

TVR

Following Admission, the Company's issued share capital will consist of 36,408,477Ordinary Shares of 0.5 pence each, with voting rights ("Ordinary Shares"). The Company does not hold any Ordinary Shares in Treasury.

Therefore the total number of Ordinary Shares in the Company with voting rights will be 36,408,477.

The above figure of 36,408,477 Ordinary Shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
