Voting Rights and Capital

In accordance with DTR 5.6.1 of the FCA's Disclosure and Transparency Rules we would like to notify the market of the following:

Premier Foods plc has issued 1,956,000 additional ordinary shares with voting rights in November 2014.  The shares were granted under the Company's 2014 Share Incentive Plan, as approved by shareholders at the Company's General Meeting on 15 October 2014.

Therefore the figure of 825,667,194 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Premier Foods plc under the FCA's Disclosure and Transparency Rules.
