TRANSACTION IN OWN SHARES

Close Brothers Group plc (the 'Company') announces that on 26 November 2014 it transferred 6,194 ordinary shares of 25 pence each from treasury to participants in its employee share plans.  The transfer price was nil pence.  Following the transfer of these shares, the Company holds 1,557,147 of its ordinary shares in treasury and has 149,067,146 ordinary shares in issue (excluding treasury shares).
