Zytronic Plc (the "Company")

Exercise of Options and Total Voting Rights

The Company announces that following the exercise of options by an ex-employee, it has issued 2,000 new ordinary shares of 1 pence each ("Ordinary Shares").

Following the issue of these new Ordinary Shares, the Company's issued share capital consists of 15,195,468 Ordinary Shares, each carrying one voting right. The Company does not hold any Ordinary Shares in Treasury.

This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.

The new Ordinary Shares will rank pari passu with the Company's existing Ordinary Shares.  Application has been made for the new Ordinary Shares to be admitted to trading on AIM. Admission and dealings in the new Ordinary Shares are expected to become effective on 25 November 2014.
