CLS Holdings plc (the "Company")

Notification of compliance with Listing Rule 9.2.2AR

The Company announces that it has entered into a written and legally binding relationship agreement with its controlling shareholder, Victoria Investment Holdings Limited ("VIHL") (the investment vehicle for The Sten Mortstedt's Family and Charity Trust (the "Trust") in which Sten Mortstedt, the Company's Executive Chairman has a beneficial interest).

The relationship agreement addresses the requirements applicable to companies with controlling shareholders, imposed by LR 9.2.2AR of the Listing Rules.

VIHL holds 21,693,829 ordinary shares of 25 pence each in the Company ("Ordinary Shares") representing 50.54% of the issued share capital (excluding Ordinary Shares held in treasury).

Further, the Company has been notified today that Mr Mortstedt is no longer interested in 273,697 Ordinary Shares that were held by, or for the benefit of, a Connected Person. Accordingly, Mr Mortstedt's interest in Ordinary Shares is limited to the 21,693,829 Ordinary Shares held by VIHL.
