Directors' Dealings

Further to the Company's announcement on 13 October 2014, Breedon now announces that, pursuant to the exercise of a put option granted under the Marwyn Participation Shares arrangement, David Williams, a director of the Company, was allotted 6,767,209 ordinary shares of nil par value in the Company ("Ordinary Shares").

The Company further announces that, following the allotment referred to above, Mr Williams has today sold 5,000,000 Ordinary Shares for 42.0p per share and, as a consequence, he now has an interest in 15,479,342 Ordinary Shares representing 1.51% of the Company's Total Voting Rights.

Following the above allotment, there are 1,022,540,561 Ordinary Shares in issue. This number may be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company.
