ASOS PLC ('ASOS' or the 'Company')

Director/PDMR Shareholding

Under the terms of his service contract dated 1 October 2012, the Company has issued 4,434 ordinary shares of 3.5 pence each ("Ordinary Shares") to Mr. McBride.  This grant comprises ASOS Plc Ordinary Shares worth £100,000 when calculated with reference to the closing price of the Ordinary Shares on 31 October 2012 of £22.55.  The grant of these Ordinary Shares represents the third of three annual grants to Mr. McBride of 4,434 ASOS Ordinary Shares of 3.5 pence each. The first grant occurred on 1 November 2012, and the second grant occurred on 1 November 2013. This is the final grant of shares to be made to Mr. McBride under his service contact.

Application will be made for the 4,434 new Ordinary Shares to be admitted to trading on AIM. These new Ordinary Shares will rank pari passu with the existing Ordinary Shares of the Company and dealings in the new Ordinary Shares are expected to commence on 10 November 2014. 

Following this transaction, Mr. McBride holds 13,302 shares in ASOS Plc.
