Notification of Transactions by Persons Discharging Managerial Responsibility

Morgan Sindall plc Exercise of Options under the 2008 Sharesave Plan ("Sharesave Plan")

The Company makes the following notification pursuant to Disclosure and Transparency Rule 3.1.4R (1) (a).

The Company was notified on 3 November 2014 that, on that date, following the maturity of options under the Company's 2008 Sharesave Plan, which were granted on 27 September 2011, John Morgan, a PDMR, exercised 1,814 options over ordinary shares of 5p each in the Company ("shares") at an option price of £4.96. All shares have been retained by John Morgan.

John Morgan's total beneficial interest in Morgan Sindall Group plc ordinary shares is now at 3,999,322, which represents 9.24% of the issued share capital in the Company.
