Result of General Meeting

Premier Foods plc (the "Company") announces that at the General Meeting held today at the Company's offices, Premier House, Centrium Business Park, Griffiths Way, St Albans, Hertfordshire, AL1 2RE, the ordinary resolution regarding the proposed introduction of a new tax advantaged all-employee share incentive plan, as set out in the notice of meeting sent to shareholders on 22 September 2014 (the "Resolution"), was duly passed on a poll vote.

The table below shows the votes received for and against the Resolution, representing a total of 68.5 per cent. of the 823,711,194 ordinary shares in issue as at the date of the meeting.
